Purpose of the Job:
The incumbent will be responsible to develop, implement, monitor, and manage the organisations compliance function while working in close collaboration with the internal audit, legal, regulatory, and finance departments.

Main Responsibilities
Strategic Planning & Execution:

  • Establishment of a structured, integrated compliance function.
  • Propose to the Executive Committee “EXCO”, the Internal Risk and Compliance Committee “IRCC” and the Audit and Risk Committee “ARC” high-quality investing decisions to advance compliance risk management.
  • Develop a company compliance policy and framework which aligns to the risk management framework where applicable.
  • Develop and implement a compliance risk management process in line with generally accepted compliance practice.
  • Ensure that regulatory compliance in the company gets the necessary attention it needs to ensure that compliance matters are managed proactively.
  • Foster aligned compliance efforts across the company’s business units to ensure that compliance risk is not managed in silos.
  • Design and lead a strong compliance culture in the business by effectively communicating to relevant stakeholders and addresses challenges in an effective and timely manner.
  • Proactively support and establish key collaborative relationships with internal stakeholders.
  • Operational / Business Process Management
  • Prepare presentations and reports of annual strategic plans for approval by the EXCO, IRCC and ARC.
  • Review and approve the purpose, scope, and compliance risk management approach of each project for assigned areas of compliance risk coverage and mitigating programs.
  • Provide training and supervision of employees to ensure that the approved compliance risk management objectives are met, and that adequate practical coverage is achieved.
  • Develop and maintain compliance reports, discuss the reports with appropriate management and evaluate responses and schedule follow-up compliance assessments/ monitor the implementation of corrective action where applicable.
  • Conduct benchmarks and develop best practice approach to compliance management and implement across the company.
  • Conduct training on general and industry-specific regulatory compliance to ensure that employees are aware of the importance of compliance and the consequences of non-compliance.

Compliance Risk Management:

  • Through adoption of a risk-based approach, design and implement a regulatory universe, monitor, and update some as require
  • ments having regard to all relevant legislation, international/ industry standards and guidelines that impact or could impact the business.
  • Review and scan the external environment for new developments in the regulatory environment and advise the company accordingly.
  • Implement a compliance monitoring programme to identify and improve areas of compliance weakness and to ensure that there are adequate controls in place.
  • Collate instances of non-compliance with laws and regulations for reporting to senior management, the EXCO, the IRCC, and the ARC in a timely manner.
  • Co-ordinate and lead compliance reviews into business and identify areas for improvement, engage with business on findings and monitor implementation action plans.
  • Conduct or direct the internal investigation of compliance issues.
  • Monitor compliance systems to ensure their effectiveness.
  • Verify that all regulatory compliance policies and procedures have been documented, implemented, and communicated.
  • Collaborate with other assurance providers and business to facilitate and support an effective internal control environment.
  • Provide compliance assurance to the relevant management teams, the EXCO, the IRCC, the ARC, and other board committees as appropriate.
  • Develop and maintain compliance reports.
  • Effectively challenge the activities and decisions that materially affect the company’s compliance risk profile.

People Management

  • Recruit; assign and direct work, oversee staff development, identify training needs and maintain staff competence.
  • Oversee, evaluate and guide the department’s Employee Performance Management programme.
  • Provide an advisory, support and mentorship function.
  • Initiate the appropriate Labour Relation action required within own area.
  • Uphold HR policies and procedures
  • Perform any related duties as requested by Management.
  • Monthly and ad hoc duties as required relating to any compliance risk management category that falls within the Enterprise Risk Management department’s responsibility

Qualifications

  • LLB/ Admitted attorney/ CA (SA)/ MBA / or similar.
  • A professional compliance management/ postgraduate qualification would be advantageous.

Experience

  • Minimum of 7+ years’ experience within legal/risk/compliance or similar environment inclusive of;
  • At least 4+ years’ experience in a senior compliance managerial position in a medium to large organisation.
  • Practical experience in the implementation and embedding of integrated compliance programs at a large organisation.
  • Sound knowledge of corporate governance principles.
  • Telecommunications background or similar would be an advantage.
